Special General Meeting to appoint a new auditor.

At the meeting, members will have the opportunity to ask questions in relation to the voting process.
At the meeting, members will be asked to vote to:
- agree to waive the notice period requirements set out in paragraph 67 of the Constitution and consent to the Special General Meeting proceeding on 30 June 2026.
- appoint Michael Sinclair as Auditor of ADIESA until the next Annual General Meeting, or until a successor is appointed.
Notice period
The Board acknowledges that this Notice of Special General Meeting has been issued with less notice than the period specified in the ADIESA Constitution.
The Board considers that the matters to be considered at the Meeting important and should be addressed as soon as practicable. Members are therefore requested to agree to the Meeting proceeding notwithstanding the shortened notice period.
By attending the Meeting and participating in its proceedings, members will be taken to have acknowledged the shortened notice period. At the commencement of the Meeting, members will be asked to consider and, if thought fit, pass the following procedural resolution:
“That the members present agree paragraph 67 of the Constitution and consent to the Special General Meeting proceeding on 30 June 2026.”
If the procedural resolution is not passed, the Meeting will be adjourned and reconvened following the issue of notice in accordance with the Constitution.
Auditor Appointment
At the 2025 Annual General Meeting members voted to appoint Hardwickes as the auditor for 2026. ADIESA recently appointed Michael Sinclair as the ADIESA accountant to register ADIESA for GST.
At its meeting on 21 May 2026, the ADIESA Board resolved to recommend the appointment of Michael Sinclair as Auditor, subject to approval by members at a Special General Meeting. Details and Board considerations are included in the formal notice of Special General Meeting to members.
